This End-User License Agreement ("Agreement") is a legal contract between you ("User", "You") and FAKTUUR Technologies ("Company", "We", "Us"), governing your use of the FAKTUUR invoicing software, including its web application, desktop application, mobile components, updates, documentation, and any related services (collectively, the "Software").

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

FAKTUUR Technologies grants you a non-exclusive, non-transferable, revocable, limited license to install and use the Software solely for your personal or business invoicing activities, in accordance with this Agreement. The available features and the number of permitted users depend on the edition purchased (Trial, Starter, Business, or Agency).

You are not purchasing the Software; you are receiving a license to use it.

2. Permitted Use

You may:

Install and use the Software on devices you own or control
Access the web version via your browser
Create, manage, and export invoices, clients, products, and financial data
Use the Software for commercial or business purposes related to your own company
Receive updates, patches, and improvements provided by FAKTUUR Technologies

3. Restrictions

You may not:

Modify, alter, translate, or create derivative works of the Software
Reverse engineer, decompile, or attempt to extract the source code
Rent, lease, sublicense, sell, or distribute the Software to third parties
Circumvent licensing, authentication, or security mechanisms
Use the Software for illegal, fraudulent, or unauthorized activities
Remove or alter copyright notices, branding, or proprietary marks

Any violation of these restrictions will result in immediate termination of your license.

4. Unauthorized Modification — Permanent License Revocation

The Software may only be modified, patched, or otherwise altered by FAKTUUR Technologies. If the Software is modified or altered in any way by anyone other than FAKTUUR Technologies — including, without limitation, changes to its source code, database structures, branding, or its licensing, validation, or security mechanisms — your license is automatically and permanently revoked, without prior notice and without any right to a refund. A license revoked under this section will not be reinstated. FAKTUUR Technologies may detect and enforce such revocation through the Software's built-in license verification.

5. Ownership

The Software is owned exclusively by FAKTUUR Technologies. All intellectual property rights — including code, design, trademarks, branding, and documentation — remain the property of the Company. This Agreement does not transfer any ownership rights to you.

6. Updates & Upgrades

FAKTUUR Technologies may provide updates, patches, or new versions within the Version 2 series. Updates may add new features, improve performance, fix bugs, or modify or remove existing functionality. You agree that the terms of this Agreement apply to all updates unless a new EULA replaces it.

7. Data & Privacy

Your use of the Software is also governed by our Privacy Policy, available on our official website: https://www.faktuur.app. We may process data such as client information, invoice details, business identifiers, and usage analytics. All processing complies with applicable laws, including GDPR for EU users.

8. Cloud Services & Connectivity

Some features of the Software may require internet access, cloud synchronization, API integrations, or third-party services (e.g., payment gateways, email providers). FAKTUUR Technologies is not responsible for downtime, service interruptions, or failures caused by third-party providers.

9. Fees & Licensing

FAKTUUR is licensed under a one-time payment, lifetime license model. By purchasing the Software, you obtain a perpetual license to use the Version 2 series (2.x) and all minor updates released within it. There are no recurring fees and no subscriptions; your license remains valid indefinitely as long as you comply with this Agreement. Major future versions (e.g., Version 3.0 or higher) may be offered as optional paid upgrades, but you are not required to purchase them to continue using your existing licensed version. All payments are processed securely through approved payment providers.

10. Termination

This Agreement remains in effect until terminated by either party. FAKTUUR Technologies may terminate your license immediately if you breach any term of this Agreement, misuse the Software, or attempt unauthorized access or modification (see also Section 4). Upon termination you must stop using the Software and uninstall all copies; access to cloud features may be revoked.

11. Disclaimer of Warranties

The Software is provided "AS IS" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or accuracy or reliability of data. You use the Software at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, FAKTUUR Technologies is not liable for loss of profits, loss of data, business interruption, or indirect, incidental, or consequential damages. Our total liability shall not exceed the amount you paid for the Software (if any).

13. Governing Law

This Agreement is governed by the laws of Belgium, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Brussels, Belgium.

14. Changes to This Agreement

FAKTUUR Technologies may update this Agreement at any time. Continued use of the Software after changes are posted constitutes acceptance of the updated terms.
